Manager - Sale & Purchase Agreement (SPA), Transaction Advisory

A leading professional services firm is looking to hire a Manager into its Sale & Purchase Agreement (SPA) team, based in London. This is an opportunity to join a specialist Transaction Services practice advising corporate and private equity clients on the financial and commercial aspects of Sale & Purchase Agreements throughout the deal life-cycle.

The team works on a broad range of M&A transactions, providing practical advice on pricing mechanisms, completion accounts, locked box structures and post-completion matters. This role offers significant client exposure alongside the opportunity to develop specialist SPA expertise within a collaborative and growing advisory practice.

The Role

You will lead SPA advisory workstreams across a variety of transactions, supporting clients through both deal execution and post-completion matters.

Working closely with senior colleagues, legal advisers and client management teams, you will provide commercial advice on Sale & Purchase Agreement provisions, review pricing mechanisms and deliver practical recommendations that help clients manage transaction risk and maximise value.

Key Responsibilities

  • Lead SPA advisory workstreams across acquisitions, disposals and wider M&A transactions.
  • Advise clients on completion accounts, locked box arrangements and deferred consideration mechanisms.
  • Review and provide commercial input on Sale & Purchase Agreements and pricing structures.
  • Support vendor assistance engagements, including the preparation of Locked Box papers.
  • Advise clients on post-completion matters, including completion accounts, earn-out calculations and commercial negotiations.
  • Support internal practice development, operational initiatives and risk management processes.

Candidate Profile

  • Transaction Services, Financial Due Diligence or wider M&A advisory experience.
  • Strong understanding of Sale & Purchase Agreements, including completion accounts, locked box mechanisms and earn-out provisions.
  • Experience supporting or leading transaction engagements from execution through completion.
  • ACA qualified (or equivalent) with a strong academic background.
  • Excellent analytical skills with the ability to interpret financial information and provide commercial insight.
