Senior Commercial Lawyer
Senior Commercial Lawyer – London
About the Role
The Commercial Legal team at Baringa is seeking an experienced Senior Commercial Lawyer to join them. This role will involve leading and managing a team of commercial lawyers, providing specialised legal and commercial support across high-stakes deals—particularly in digital contracts (data, technology delivery, AI, cloud, etc.).
Prime responsibilities:
- Lead a dedicated team of lawyers, allocating workloads, managing performance, and fostering professional development.
- Partner with partners and senior leadership to guide critical commercial agreements, including One-off Services Agreements, Framework Agreements, Licence Agreements, and Sub-contracts.
- Drive robust contract risk assessment, identifying escalations and proactively updating Contract Risk Scorecards.
- Collaborate with Baringa Enablement (People, Finance, Data, IT, Infosec, etc.) and align contracts with evolving business needs.
- Train and coach junior colleagues while ensuring best-practice precedents and tech-integrated processes (e.g., CLM tools).
This is a strategic seat: furthering client trust via sharp legal execution while shaping how Baringa manages risk.
Responsibilities
Leadership and Team
- Manage a team of commercial lawyers, aligning their growth with personal and professional development.
- Set and prioritise deliverables—balancing individual workloads while upholding quality and deadlines.
- Develop legal precedents, playbooks and training materials that elevate team capability across tech-focused client work.
Contract Leadership
- Lead negotiation and drafting of key contracts, ensuring alignment with commercial objectives:
- Data, tech and AI deals
- Cloud-based provisions
- Risk allocation and disputed clauses
- Conduct contract due diligence, advising senior stakeholders on escalated contractual positions and proposing remediation.
- Ensure compliance with risk assessments and insurance coverage limits via liaison with brokers.

Advisory and Innovation
- Offer client-facing risk intelligence, translating legal and regulatory nuances into actionable advice.
- Contribute to commercial policies—datalectual property (including IP implications) and corporate regulatory compliance within AI/data delivery frameworks.
- Demonstrate a pragmatic approach across deals, blending commercial urgency with ethical or regulatory constraints.
Requirements
Qualifications & Experience
- Solicitor (England & Wales) or equivalent with 6+ years post-qualification experience across commercial law.
- Substantial proficiency in digital contracting, including familiarity with:
- Data governance frameworks (gdpr, CCPA)
- Cloud service agreements (e.g., AWS, Azure SLA nuances)
- Emerging technologies (AI liability, algorithmic transparency)
- Proven expertise negotiating with large international counsel, banks, or corporations.

- Grasp cybersecurity (NsC), infosec breaches impacts, privacy risks, and evolving regulations.
- Work with Baringa’s tech centric business lines (Beyond process automation; into **AI, blockchain, ethyl)
- Leadership & Development
- Synthesise experience from managing projects and multiple direct reports in legal functions.
- Actions a “scaling” mindset: Improving speed and integrity of commercial law delivery across the firm.
- Innovation in Legal Practice
- Embrace new technologies: legal databases, AI-assisted contract drafting, and document management systems.

- Experience in tech, pharma, or public sector legal teams.
- Cross-sector leveraged training initiatives with gen Z/millennial legal professionals.
