The Role: Senior Commercial Lawyer (6-Month FTC)
About the Team
The Commercial Legal team provides specialised legal, risk management, and commercial support across Baringa, shaping contracts, negotiations, and partnerships—from One-off Services Agreements to data, AI, and cloud deals.
This role reports to the Commercial Legal Director and collaborates with Legal & Business Integrity, Baringa Enablement, and senior leadership. It is a senior team-leadership position, requiring directorial experience, caseload management, and team development.
Key Responsibilities
- Leading a team of commercial lawyers:
- Allocate work, manage performance, and support career growth (line-management).
- Ensure alignment with business objectives, deadlines, and escalation protocols.
- Corporate contracting expertise:
- Lead negotiations and drafting for tech, data, AI, and cloud agreements, including:
- One-off Services Agreements
- Framework Agreements
- Licence Agreements
- Sub-contracts (and others)
- Lead negotiations and drafting for tech, data, AI, and cloud agreements, including:
- **Risk & compliance":
- Conduct contract risk analysis for senior management; escalate high-risk items to Baringa’s Sector Leads.
- Challenge and update Baringa’s Contract Risk Scorecards (due diligence and risk positioning).
- Work with insurance brokers to align contract terms with coverage.
- Training & best practice:
- Provide guidance, precedents, and playbooks to Legal & Business teams.
- Deliver training on digital contracting, legal tech, and compliance.
- Cross-functional coordination:
- Oversee engagements with People, Finance, Data, IT, and Infosec teams.

Who We’re Looking For
Essential Qualifications
- Qualified solicitor or barrister (England & Wales or a Commonwealth country).
- Minimum 6 years’ post-qualification experience.
Key Experience & Skills
- Digital contracting focus:
- Expertise in cloud, data, AI, and technology delivery/deals is non-negotiable.
- Experience with international MSA’s, SLAs, SLAS (Service Level Agreements), and SaaS licence agreements.
- Negotiation & Deal-making:
- Ability to manage high-stakes discussions with global clients, banks, and their law firms.
- Team Leadership:
- Proven ability to line-manage lawyers, delegate, and foster professional development.
- Commercial Risk Judgement:
- Develop risk assessments, communicate findings to senior stakeholders, and propose mitigations.
- Communication:
- Translate complex legal issues to non-technical audiences.
- Strong written & verbal advocacy with clients and Business teams.
- Operational Excellence:
- Prioritise fast-paced caseloads with varied deadlines.
- Familiarity with legal tech/CLM tools (e.g., DocuSign, Icertis, SharePoint) is a plus.

- Knowledge of data protection & AI governance frameworks (GDPR, PDPA, etc.).
- Law firm or consultancy experience is ideal but not required.
