This is a new role in the Frankfurt Entity with the goal of elevating Corporate Governance processes to the next level. The successful candidate will act as a trusted governance partner, ensuring the efficient organisation and administration of Board and committee activities. Depending on the seniority and experience of the individual, the position may report either to the Chief Legal Officer or the Head of Legal and will work closely with Legal, the Chief of Staff, and other key stakeholders across the organisation.

Job Description

  • Coordinate and support Management Board, Supervisory Board, and committee meetings, ensuring smooth and timely execution of all governance-related activities
  • Prepare meeting agendas, board packs, resolutions, presentations, and supporting documentation in close collaboration with key stakeholders across the organisation
  • Attend meetings and produce accurate, concise, and high-quality minutes and action logs in English
  • Support the preparation and organisation of Supervisory Board meetings as well as key committees, including the Audit, Risk, and Remuneration Committees
  • Manage governance calendars, meeting schedules, statutory deadlines, and follow-up actions, ensuring timely completion of agreed deliverables
  • Act as a trusted point of contact for Board members, committee members, senior management, and control functions on governance-related matters
  • Facilitate effective communication and coordination between Legal, Risk, Compliance, Internal Audit, Executive Management, and governance bodies
  • Maintain governance records and corporate documentation in line with internal policies and regulatory expectations
  • Support corporate secretarial and corporate affairs activities associated with the German banking entity and all subsidiaries of the German entity
  • Contribute to the continuous improvement of governance processes and meeting effectiveness while ensuring a high level of accuracy, professionalism, and attention to detail

The Successful Applicant

  • Several years of professional experience in Corporate Governance, Corporate Secretariat, Governance Affairs, Corporate Affairs, Regulatory Affairs, Legal Entity Governance, Chief of Staff, or a comparable function
  • Proven experience supporting Boards, Supervisory Boards, committees, or other senior governance bodies, ideally within a regulated environment
  • Experience gained within banking, financial services, asset management, insurance, or another highly regulated industry is strongly preferred
  • Sound understanding of corporate governance structures, Board dynamics, and decision-making processes within regulated organisations
  • Academic background in Law, Business Law, Corporate Governance, Business Administration, or a related discipline; a full legal qualification is advantageous but not required
  • Strong drafting skills with experience preparing meeting materials, resolutions, and minutes for senior stakeholders
  • Exceptional organisational skills, with the ability to manage multiple priorities, deadlines, and stakeholders simultaneously
  • Highly structured, detail-oriented, and conscientious working style with a strong sense of ownership and accountability
  • Ability to work independently while building effective relationships across functions and seniority levels
  • Demonstrates professionalism, discretion, sound judgement, and a high degree of integrity
  • Fluent English is essential, both written and spoken, as Board documentation and meeting minutes are prepared in English
  • German language skills are highly desirable and would support day-to-day collaboration with local stakeholders
