About the Role
Empower seeks a Senior Counsel—an experienced attorney with a strong business-oriented mindset to advance our contracting process through legal analysis and advisory work. This role specializes in contract drafting, review, and negotiation, focusing on retirement plan recordkeeping, trust services, advisory, and vendor agreements. You’ll provide critical legal risk assessment, drive efficiencies, and champion innovation—bridging business strategy with meticulous compliance.
A discriminating combination of global law, fiduciary responsibility, and commercial objectives is pivotal here. They have a talent for recognizing where legal principles intersect with business imperatives and can spare no energy for rigid formulaic agreement art. The talent announced will be called to develop varied scientific and operational options to leave us in a stronger and more profitable trajectory. Expect to interact closely as an anticipated before partner with business stakeholders and empirical specialists.
Responsibilities
- Contract Expertise – Lead, review, and negotiate client contract documents for retirement services across corporate, governmental, nonprofit, union, multi-employer, and institutional plans.
- Vendor Agreements – Draft and negotiate third-party contracts, including:
- Service agreements, sourcing agreements, statements of work (SOWs)
- Non-disclosure agreements (NDAs)
- Software licensing and SaaS agreements
- Amendments and intricate agreements with vendors/providers
- Transactions & Strategies – Guide complex commercial transactions, anticipate issues, and proactively counsel leadership to deliver positive outcomes.
- Risk Assessment – Demonstrate a legal and regulatoryatomic intuition in contract terms, strategic integrative solutions, and mitigating risks and compliance burdens.
- Stakeholder Collaboration – Interface with internal teams, client partners, vendors, and external counsel, clarifying complex legal positions for business and strategy teams.
- Legal Advisory – Advise on contract structuring, interpretation, compliance, enforcement, and risk evaluation for internal teams.
- Transaction Support – Contribute to initiatives like due diligence (acquisitions, mergers, reorganizations) with specialized research and contract facilitation.
- Policy & Process Improvement – Lead development/maintenance of policies, contract templates, scalability tools, and repeatable low-risk processes with efficiency gains.
- Resource Management – Steer team contributions, time allocations, and informed decision-making to enhance service levels and reduce operational risk.
- Project Execution – Juggle multiple demanding priorities while achieving adherence to deadlines. Deliver efficiently—whether independently or as a collaborative team-within-a-team to foster peak productivity.

Requirements
- Education & License: J.D. degree from an accredited law school, with state bar admission in good standing.
- Experience: 5+ years in a legal role with a focus on contract drafting, negotiation, and review, predominantly with large, sophisticated clients—preferably in financial services or retirement services. Experience with:
- Mutual fund partnerships, service/distribution agreements, and associated regulatory frameworks
- Negotiating agreements, managing underwriting processes, and assessing compliance risk documents and projects
- Technical Tools: Advanced fluency in MS Word, Outlook, and Excel.
- Skills:
- Strong ability to decode, diagnose, and parse complex legal and commercial transactions
- Proficient communication across all organizational levels—sales, procurement, and vendor partnerships.
- Principle-based approach to customer-centricity and agility.
- Discretion, morals, and confidentiality in handling sensitive information.
- Organizational skill under duress with foresight to manage priorities, motivations, and dynamic needs.
- Familiarity with privacy laws and data protection.
- Authorization: Must be eligible to work in the U.S. (no sponsorship available for visas or current work authorization will be extended).
