Tangible is a fast-growing, tech-enabled platform providing liquidity solutions to LPs and GPs in the private markets secondaries ecosystem. By combining legal, financial, and operational expertise with modern infrastructure, we enable complex transactions to execute efficiently across jurisdictions and counterparties.
Role Overview:
You will be a key member of Tangible’s legal and execution team, working across a wide range of private-market transactions, including secondary transfers and NAV lending engagements. You will help shape and manage the transaction lifecycle, from legal documentation and regulatory onboarding to closing coordination and process execution.
You’ll play a critical role in ensuring our transactions run smoothly across multiple jurisdictions and counterparties. You will work independently, yet collaboratively, across deal teams, fund administrators, compliance partners, lenders, and institutional clients.
Key Responsibilities:
- Drafting, reviewing, and negotiating legal documentation for secondary transactions and NAV lending, including NDAs, LOIs, Purchase & Sale Agreements, Transfer Agreements, Credit Agreements and other contractual materials that support the transaction lifecycle.
- Interpreting fund documentation such as LPAs, offering materials, and side letters to identify transferability guidelines, consent requirements, and closing constraints.
- Managing global closing workflows by coordinating with buyers, sellers, fund managers, administrators, custodians, lenders, and compliance teams to ensure timely and accurate execution of all legal and operational deliverables.
- Overseeing KYC/AML onboarding processes for all counterparties, including identity verification, beneficial ownership review, and regulatory compliance requirements.
- Improving legal infrastructure by refining templates, playbooks, checklists, and standardised processes to enhance consistency and reduce friction.
- Acting as a trusted advisor to internal teams, providing clear, concise guidance on legal requirements, transaction feasibility, and risk considerations in a fast-moving environment.
- Collaborating across business units, ensuring alignment between legal, operations, deal teams, and platform workflows.

Requirements:
- You are an execution-oriented legal or transaction professional who is comfortable operating across legal, compliance, and operational domains. You bring:
- 5+ years of post-qualification experience in transactional legal, compliance, transaction services, or financial services roles, ideally within investment banks, Big Four advisory, private equity, or in-house legal teams.
- Strong familiarity with US and/or UK law-governed agreements in a cross-border context.
- Experience supporting or managing multi-party transaction execution and closing processes.
- Working knowledge of KYC/AML and regulatory compliance in financial transactions.
- Strong organisational and communication skills, with the ability to manage multiple workstreams simultaneously.

Nice to Have:
- Experience in financial services, private markets, or fintech platforms.
- Experience coordinating multi-party closings involving lenders, fund managers, administrators, custodians, and institutional investors.
- Comfort working across international time zones and cultures.
