Purpose Of The Role
In joining Affinia, you will be part of a growing, successful, forward-thinking and dynamic Tax department. This role is designed for an experienced corporate tax or transaction tax professional who wants to play a key role in building and delivering Affinia’s transaction tax offering.
As a Transactions Tax Manager / Senior Manager, you will work closely with Directors, Partners, Corporate Finance, Accountancy & Advisory, Audit, VAT, Employment Tax, Property Tax, Private Client and other specialist teams to provide joined-up advice on acquisitions, disposals, restructurings and wider corporate transactions.
The role will involve supporting clients throughout the transaction lifecycle, from initial planning, proposal stage and offer terms, through to tax due diligence, acquisition structuring, completion, post-deal implementation and ongoing advisory support.
You will work with a broad range of clients including owner-managed businesses, family-owned companies, entrepreneurial clients, corporate groups, management teams, investors, acquisitive businesses, professional advisers and, where relevant, private equity backed or PE-adjacent clients.
This is an advisory-led and commercially focused role. You will be expected to deliver high-quality technical work, lead client relationships, support business development, contribute to the growth of the Tax Service Line and help develop junior colleagues.
We operate a hybrid working model, so you will split your time between the office, client sites when required, and home when you are able. We provide both technical and soft skills training through platforms such as Tolley’s, Mercia, Croner-i and LinkedIn Learning.
Accountabilities
Depending on level and experience, duties will include:
Transaction tax advisory and deal execution
- Lead or support buy-side and sell-side tax due diligence projects for corporate, entrepreneurial, family-owned, owner-managed and investor-backed clients.
- Lead due diligence meetings with target management teams, shareholders and professional advisers, and present key findings clearly to clients, legal advisers and internal stakeholders.
- Prepare and review tax due diligence reports, risk summaries, structuring papers, tax reports and board-facing advice that is technically robust, commercial and easy to action.
- Advise on acquisition structures, disposal planning, pre-sale planning, corporate reorganisations, management buy-outs, shareholder exits, business succession, group simplification and post-deal implementation.
- Review forecast models, funds flows, completion mechanics, heads of terms, sale and purchase agreements, disclosure materials and other legal documentation from a tax perspective.
- Identify and explain key transaction tax exposures, opportunities, cash tax savings, indemnity points and practical implementation steps.
- Undertake well-supported technical research using legislation, HMRC guidance, case law, professional materials and the firm’s technical resources.

Client and portfolio leadership
- Act as a trusted adviser to clients, providing strategic, commercially sound advice and proactively identifying opportunities to add value.
- Build and maintain strong relationships with clients, lawyers, funders, corporate finance advisers, wealth advisers, shareholders and other professional contacts.
- Manage a varied portfolio of advisory projects, ensuring work is delivered on time, within scope and to a high standard.
- Work closely with colleagues across service lines to ensure clients receive a coordinated and joined-up Affinia service.
Commercial and financial management
- Scope advisory projects, prepare fee quotes and agree deliverables with Directors, Partners and clients.
- Monitor project budgets, WIP, billing, recovery, debtors and profitability, taking proactive action to manage overruns or scope creep.
- Contribute to fee discussions, service scoping and pricing strategy in collaboration with Directors and Partners.
Strategic and operational contribution
- Contribute to the development, positioning and growth of Affinia’s transaction tax proposition and wider Tax Service Line strategy.
- Support Directors and Service Line Leaders on strategic initiatives, internal planning projects, quality improvement, operational efficiency and growth.
- Stay informed on market trends, competitor activity, deal activity and emerging client needs to inform service line development.
People leadership, risk management and business development
- Review work prepared by junior colleagues and provide clear, constructive feedback, coaching and technical development support.
- Consistently act as an example to the staff around you and demonstrate the importance of integrity, collaboration and high-quality work.
- Ensure services are delivered in line with firm quality standards, ethical policies, risk management procedures and regulatory requirements.
- Support business development activity, including proposals, pitches, networking, intermediary relationships, client onboarding, speaking opportunities and external profile building.
- Identify and act on cross-selling or upselling opportunities within your client portfolio, liaising with senior colleagues to maximise fee revenues and constantly add value.
Professional Skills/qualifications
- CTA, ACA, ACCA, CA, ADIT or equivalent qualification preferred.
- Strong UK corporation tax knowledge, with proven experience in corporate tax advisory, transaction tax, M&A tax, restructuring tax or a closely related advisory role.
- Experience preparing and/or reviewing technical tax advice, tax reports, transaction papers and client-facing documentation.
- Experience of tax due diligence, acquisition/disposal structuring, corporate reorganisations, share transactions, business succession, exit planning or shareholder advisory projects would be advantageous.
- Good awareness of wider transaction tax issues, including stamp taxes, VAT, employment taxes, share schemes, international tax, transfer pricing, R&D, property taxes and capital taxes.
- Ability to manage multiple projects, deadlines and stakeholders effectively in a project-based advisory environment.
- Excellent communication and interpersonal skills, with the ability to explain complex tax matters clearly and commercially to clients, colleagues and professional advisers.
- Commercial awareness and a proactive approach to client service, business development and opportunity spotting.
- Strong Excel and PowerPoint skills for analysing financial information and preparing client-facing documents.
- A continued aspiration to further your skill set and develop a visible profile within transaction tax and corporate advisory.
- The ability to work autonomously, lead others and develop junior staff through clear and constructive feedback.
- Excellent organisational skills and the ability to build rapport and develop strong relationships with clients, colleagues and external stakeholders.
