At Nscale, our Legal team plays a critical role in enabling the company's growth through the execution of complex financing transactions and strategic legal support. Working closely with Finance, Treasury and executive leadership, the team partners across the business to deliver the legal frameworks that underpin Nscale's global expansion.

About the role
We're looking for a Vice President, Legal, Debt & Capital Markets with a strong foundation in complex financing transactions and demonstrated experience leading the legal execution of debt financings, project finance, asset finance and other strategic funding arrangements.
- You're comfortable problem solving and making decisions on complex legal and commercial matters with high levels of ambiguity, including effectively navigating cross-jurisdictional financing arrangements, lender negotiations and sophisticated financing structures.
- You are confident balancing legal risk with commercial objectives and are able to provide pragmatic advice.
- You're comfortable influencing without authority and exceptional at building relationships with senior stakeholders across Finance, Treasury, Capital Markets and the wider business to drive successful outcomes.
- You are an exceptional project manager who thrives on leading complex transactions from end to end, taking ownership of execution across documentation, due diligence, negotiations, approvals and completion. You enjoy being close to the detail, working collaboratively across internal and external stakeholders, and maintaining oversight of multiple concurrent financing processes.
- You have the ability to understand complex financing structures quickly, including project finance, construction finance, asset-backed financing, secured lending and other strategic debt instruments. Exposure to digital infrastructure, AI infrastructure, GPU financing or broader capital markets products would be advantageous, although a strong foundation in sophisticated financing transactions is the priority.
- You're a hands-on legal professional who is highly organised, proactive and resilient, with the ability to remain calm under pressure and deliver consistently in an environment where priorities can shift rapidly and multiple transactions are progressing simultaneously.
- You're curious, quick to learn and excited by the opportunity to help build Nscale's in-house financing capability as the company continues its global growth, working alongside a lean, high-performing legal team supporting some of the most significant financing transactions in the AI infrastructure sector.

What you'll be doing
- You will work closely with the General Counsel, Finance, Treasury and Capital Markets teams to lead the legal execution of Nscale's financing transactions, supporting the business across project finance, construction finance, asset-backed financing, GPU infrastructure financing and other strategic funding initiatives.
- You will manage financing transactions from inception through to financial close, partnering with internal stakeholders, banks, lenders and external counsel to coordinate all legal workstreams, negotiate documentation and drive successful transaction execution.
- Working closely with Finance and Treasury, you will advise on financing structures, funding solutions and transaction strategy, supporting the delivery of complex cross-border financings while balancing legal, commercial and execution considerations.
- You will take ownership of transaction management, coordinating multiple concurrent financing processes, overseeing due diligence, managing critical timelines and ensuring all workstreams progress efficiently through signing and completion.
- You will build trusted relationships across the business, collaborating with senior stakeholders to provide pragmatic legal advice, identify risks early and support commercial decision-making throughout the transaction lifecycle.
- You will instruct and manage external legal advisers and specialist consultants globally, ensuring high-quality advice, efficient execution and alignment with Nscale's commercial objectives.
- You will work collaboratively across Legal, Finance, Treasury, Commercial and Infrastructure teams, promoting effective communication and ensuring financing transactions are delivered in a coordinated and efficient manner.
- You will proactively identify legal, commercial and operational risks, helping to develop scalable financing processes, improve documentation standards and strengthen governance across the financing function.
- You will contribute to the continued development of Nscale's in-house financing capability, supporting a growing portfolio of complex transactions while helping build best-in-class legal support for one of the fastest-growing AI infrastructure businesses globally.

Your experience
- 7+ years of experience in top-tier law firms, financial institutions and/or in-house legal roles, or equivalent (preferably working within, or for clients from, the AI, hyperscaler, digital infrastructure or technology industry and with exposure to complex financing transactions and corporate governance matters and/or working within financial institutions).
- Strong attention to detail with a focus on holistic, entrepreneurial and fast-paced decision-making and work productivity.
- Significant experience in complex corporate cross-jurisdictional transactions, including debt and equity fundraising, capital markets, IPOs, venture debt, securitisation and corporate governance with an understanding of cross-border regulatory and structuring considerations.
- Robust internal and external stakeholder management and communications skills, with the ability to influence and advise senior business leaders and collaborate effectively across cross-functional teams.
- Experience relevant for, and motivation to participate in, a growing legal function in a busy and exciting business.
- Comfortable working in a fast-paced, high-growth environment. Desirable experience
- Experience in digital infrastructure, AI infrastructure, hyperscalers or data centres.
- Exposure to GPU financing or hardware financing structures.
- Experience with asset-backed financing, securitisation or structured finance.
- Familiarity with convertible debt or broader capital markets products.
- Previous experience in a high-growth technology business.
