The EMEA Leveraged Finance (LF) Transaction Execution team sits within the EMEA Leveraged Finance and Mid Market Direct Lending team, part of the Global Corporate and Investment Banking Division. The team collaborates closely with Origination and Leveraged Capital Markets teams to provide commercial structuring, advisory, and execution services for sponsor leveraged finance loan transactions. It also engages with the in-house EMEA Legal team for legal risk management, negotiations, and overall transaction oversight.

Main Purpose of the Role
MUFG is seeking a Vice President with transactional experience in leveraged finance to join the EMEA Leveraged Finance (large cap and mid-market) team in London. This role focuses on:
- Managing the commercial negotiation of transactional documentation for leveraged loan financing transactions (including commitment documents, facility agreements, and intercreditor agreements).
- Assisting with commercial structuring considerations and identifying any emergent commercial risks or issues.

Key Responsibilities
Responsible for:
- Providing transaction execution support throughout the lifecycle of leveraged finance loan transactions, from:
- Origination (advisory on grids/term sheets, commercial negotiations of commitment/long-form documentation).
- Closing/post-closing (funding, amendments and additions, BLPs).
- Lead commercial negotiations of transaction documentation with sponsor clients, in collaboration with the in-house EMEA Legal team (responsible for managing external counsel, documentation, and legal risks).
- Advising on commercial aspects of leveraged finance transaction structuring (e.g., senior/subordinated debt, term loans, bridge finance, bridge debt, or credit facilities).
- Working with the EMEA Legal team to:
- Review and apply deep knowledge of various finance structures across different restoration strategies including TLBs, pre-pays, TLBs underwrite (buy/sell).
- Examine guarantee, security, subordination, and leakage issues.
- Evaluating commercial documentation for compliance with MUFG’s internal policies and best practices at both term sheet and credit agreement stages.
- Ensuring consistency in documentation commercial standards through:
- Serving as the central point of contact for documentation-related escalation processes.
- Serving as a center of excellence for emerging market trends.
- Coordinating the documentation process to ensure:
- Internal legal/ regulatory policy issues are addressed.
- Necessary internal processes and escalations occur on time.
- Staying current with market trends in leveraged finance transactions.
- Collaborating with EMEA Legal to improve MUFG’s control architecture around transaction documentation.
- Developing junior front-office staff through:
- Conducting internal training sessions on:
- Documentation commercial issues.
- Market trends.
- Best practices in transaction execution.

Skills and Experience
Work Experience
Significant and up-to-date market experience and knowledge of:
- European and US cross-border leveraged finance transactions.
- Preferable previous experience in in-house environments, either from a secondee or transaction execution role.
- Knowledge of high-yield bond processes helpful.
