About the Role
We’re hiring a VP, Legal (Capital Markets) to lead the legal workstream supporting Nscale’s equity capital markets activity, public company readiness, and investor relations.
This role is UK-based, with strong coordination into the GC UK & EMEA, and partners closely with the CFO, Treasurer, Corporate Development, Investor Relations, external counsel, the VP Debt Capital Markets, and the SVP Corporate & M&A.
As VP, you’ll operate at practice scope — owning equity capital markets and IR legal end-to-end, including equity issuances, SEC reporting, disclosure controls, and IPO readiness.
What you'll be doing
Equity capital markets leadership
- Lead the legal workstream on equity issuances, follow-on offerings, secondaries, PIPEs, and IPO readiness.
- Provide lead counsel on SEC-registered offerings and equity-side capital markets execution.
- Partner with the CFO, Treasurer, and Corporate Development on capital structure decisions.

Investor relations legal support
- Advise the IR team on Reg FD, Reg G, and earnings communications.
- Support investor relations activity with clear, practical legal guidance.
- Help ensure disclosure and communications processes are robust and aligned.
Team and cross-functional coordination
- Manage the Director, Legal (Public Markets & IR) and equity-side capital markets specialists.
- Coordinate with the VP Debt Capital Markets and the SVP Corporate & M&A on cross-product transactions.
- Build strong stakeholder relationships across Finance, IR, Corporate Development, and external counsel.
About You
- 12+ years of capital markets legal experience, including senior in-house and / or top-tier law firm experience.
- Deep equity capital markets expertise, with comfort lead-counselling on SEC-registered offerings.
- Public company or pre-IPO readiness experience.
- Strong understanding of SEC reporting, disclosure controls, and Section 16 administration.
- Experience advising on Reg FD, Reg G, and earnings communications.
- Strong stakeholder management skills with CFO, IR, and external counsel.
- US-qualified attorney in good standing.
- Experience with dual-listed or cross-border issuers would be a plus.
- Background covering high-growth technology or infrastructure issuers would be a plus.
- Familiarity with debt capital markets execution would be a plus.

Actual compensation may vary based on job-related factors such as skill set, experience, education, and location.
